Terms of Service

These API Terms of Service (the "API Terms") are a legal agreement between you, as the individual and/or organization accessing or using a Manifold API (as defined below) ("Developer" or "you") and Manifold, and govern your use of and access to any Manifold API. By (a) clicking "Signup," "I agree," or similar language to create an account or (b) accessing or using any Manifold API, you agree to and accept these API Terms, our Terms of Service, as well as any other Manifold Policies. Unless we define a term in these API Terms, all capitalized words used in these API Terms have the same meanings as they do in our Terms of Service.

If you intend to use any Manifold API on behalf of an organization, you must accept these API Terms on behalf of that organization. You represent and warrant that you have the authority to bind that organization to these API Terms.

1. Definitions

1.1 FNOL Integration: Manifold's First Notice of Loss feature, which provides real-time incident notifications to insurers, including event data and video context where available.

1.2 Predictive Risk Analysis: Manifold's functionality for identifying high-risk behavior patterns based on historical data and predictive algorithms.

1.3 Data Normalization: The process by which Manifold aggregates, standardizes, and validates data from multiple telematics service providers (TSPs) to ensure consistent scoring and actionable insights across platforms.

1.4 Unified Scoring System: Manifold's standardized scoring model that unifies event scoring across multiple TSPs, enabling easier comparison of driver behavior metrics.

1.5 Confidential Information: Information related to Manifold's technology, business, or data methodologies disclosed to the Developer under these API Terms.

1.6 User Data: Any data collected, accessed, or transmitted by or through the Manifold API.

2. Purpose and License

2.1 API Access and License
Manifold grants you a non-exclusive, non-transferable, revocable license to access and use the Manifold API solely for purposes of testing, developing, implementing, and operating applications that interact with the Manifold platform.

2.2 Restrictions on Use
The Manifold API may only be used for accessing features such as Data Normalization, FNOL Integration, Predictive Risk Analysis, and Unified Scoring. Misuse or modification of these core functionalities is prohibited.

2.3 Data Validation and Usage Limits
Manifold may restrict the number of API calls to ensure fair usage and system integrity. Violations of these limits may result in suspension or termination of API access.

2.4 Feedback
If you provide feedback to Manifold, you grant Manifold a worldwide, perpetual, irrevocable license to use such feedback in its products or services without restriction.

3. Developer Responsibilities

3.1 Privacy Compliance
The Developer must ensure that the collection, processing, and storage of any User Data comply with applicable laws and regulations, as well as Manifold’s Privacy Policy.

3.2 Data Security
Developer must implement necessary safeguards, including encryption, to protect User Data. In the event of a data breach, Developer must notify Manifold within 24 hours and assist in any remediation efforts.

3.3 Confidentiality
Developer agrees to keep Confidential Information secure and use it solely for purposes related to the Manifold API as outlined in these Terms.

3.4 Prohibited Actions
Developer is prohibited from:

  • Tampering with the Unified Scoring System or altering sensitivity settings;
  • Using the API to modify or interfere with Data Normalization;
  • Redistributing or reselling access to the Manifold API;
  • Using the API for any purpose that could harm or jeopardize system integrity.

4. Confidentiality and Data Ownership

4.1 Confidentiality Obligations
Both parties agree to keep Confidential Information secure and not disclose it to third parties. Confidentiality obligations extend beyond the termination of these API Terms.

4.2 Data Ownership and Usage
Manifold retains ownership of all User Data processed through the API. Manifold may use anonymized data collected through the API to improve service quality and enhance its predictive risk analysis models.

4.3 Feedback and Suggestions
Any feedback or suggestions related to the Manifold API are considered non-confidential and may be used by Manifold without restriction.

5. Warranties and Disclaimer

5.1 Developer Warranties
Developer warrants that:

  • All information provided to Manifold is accurate and complete;
  • Developer has full rights to operate and promote any applications interacting with the Manifold API;
  • Developer’s use of the API will not infringe on any third-party rights.

5.2 Disclaimer
THE MANIFOLD API IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Indemnification

Developer agrees to indemnify, defend, and hold Manifold and its affiliates harmless from any claims, damages, or losses arising from:

  • Developer's breach of these API Terms;
  • Any third-party claims related to Developer's use of the API or any associated applications;
  • Developer's handling of User Data in a manner inconsistent with these API Terms.

7. Limitation of Liability

7.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANIFOLD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THESE API TERMS.

7.2 Limitation of Liability
IN NO EVENT SHALL MANIFOLD’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY DEVELOPER FOR API ACCESS IN THE SIX MONTHS PRIOR TO THE INCIDENT.

8. Term and Termination

8.1 Duration
These API Terms will remain in effect until terminated.

8.2 Termination by Manifold
Manifold may terminate these API Terms if Developer violates the terms, or for any other reason, with prior written notice.

8.3 Termination by Developer
Developer may terminate these API Terms by discontinuing all use of the API.

8.4 Effect of Termination
Upon termination, Developer must cease all API interactions and delete any data obtained through the API.

9. Disputes

9.1 Informal Resolution
Both parties agree to attempt to resolve disputes informally before initiating formal proceedings.

9.2 Arbitration
Any unresolved disputes will be resolved through binding arbitration.

9.3 Jurisdiction
If arbitration is found inapplicable, both parties consent to the exclusive jurisdiction of the courts located in [Jurisdiction Location].

10. General Provisions

10.1 Modifications
Manifold may modify these API Terms from time to time. Continued use of the API indicates acceptance of modified terms.

10.2 Assignment
Developer may not assign rights or obligations under these API Terms without Manifold’s prior written consent.

10.3 Entire Agreement
These API Terms, along with any applicable Manifold policies, constitute the entire agreement between the parties.

10.4 Notices
All notices related to these API Terms should be sent to [Manifold Contact Information].

10.5 Governing Law
These API Terms are governed by the laws of [Governing Jurisdiction].

10.6 Third-Party Beneficiaries
There are no third-party beneficiaries to these API Terms.

10.7 Waiver and Severability
